Terms of Service

These Terms of Service ("Terms") govern your access to and use of Procuro, Procuro AI, and any related applications or features we offer under the Procuro brand (collectively, "Procuro," "the App," or "the Services"), provided by Oaka AI. By installing, accessing, or using Procuro, you agree to these Terms.

This page is a plain description of how Procuro's service works, not a substitute for legal advice. It has not been reviewed by a lawyer licensed in your jurisdiction, and you should have it reviewed by one before relying on it for anything beyond general guidance.

1. Introduction

These Terms apply to every merchant who installs Procuro from the Shopify App Store. By installing the app, confirming a plan, or continuing to use Procuro after a change to these Terms, you're agreeing to the version of these Terms in effect at that time.

2. Description of the service

Procuro is a Shopify application that helps merchants create and manage purchase orders, match supplier invoices to their Shopify catalog, automatically update product cost and inventory value, and forecast demand. Procuro AI is an optional feature within Procuro that reads supplier invoice PDFs and builds purchase orders from them.

Features available to you depend on which Procuro plan you're subscribed to. Current plans and what each one includes are listed on our pricing page, which may be updated from time to time as described in these Terms.

3. Eligibility and your account

To use Procuro, you need an active Shopify store and the permissions necessary to install apps on that store. You're responsible for keeping your Shopify account credentials secure, and for all activity that happens under your store's connection to Procuro.

You're responsible for the accuracy of information you enter into Procuro, including supplier details, costs, and purchase order data. Procuro matches and calculates based on what you provide; it can't correct information that was wrong to begin with.

4. Plans, billing, and free trials

Procuro is billed through Shopify's standard billing system, on a recurring basis, in USD. Choosing a plan, starting a trial, or continuing to use Procuro after a trial ends authorizes the corresponding charge through your Shopify account.

Free trial length depends on your selected plan, as shown on our pricing page at the time you install. Unless you cancel before your trial ends, your subscription will begin and you'll be charged according to the plan you selected.

You can upgrade, downgrade, or cancel your plan at any time from within Shopify. Changes are prorated through Shopify's standard billing proration, and cancellation stops future charges but doesn't refund charges already billed.

5. Procuro AI and usage-based charges

Procuro AI is optional. No AI use means no extra charge. Every plan includes free AI lines each month; usage beyond your plan's included lines is billed per line at the rate shown for your plan on our pricing page, separately from your plan's base subscription.

You always see the cost before continuing, and manual and CSV purchase orders are never charged, regardless of volume. During a free trial, AI use is capped at the plan's included lines (250 for Scale), never charged.

Usage-based charges are billed through Shopify's standard billing system alongside your subscription. Rates and included allowances may change; we'll make reasonable efforts to communicate changes before they take effect.

6. Acceptable use

You agree not to:

• Use Procuro for any purpose that violates applicable law
• Attempt to reverse-engineer, decompile, or access Procuro's underlying code or infrastructure beyond normal use of the app
• Interfere with or disrupt Procuro's service, servers, or networks
• Use Procuro to process data you don't have the right to process, including another party's confidential supplier information without authorization
• Resell, sublicense, or provide access to Procuro to a third party outside your own store's normal operations

7. Data and privacy

How we collect, use, store, and protect your data is described in full in our Privacy Policy, which forms part of these Terms. In summary: we collect the shop, product, inventory, and purchase order data necessary to operate Procuro, and your shop-specific data is permanently deleted within 30 days of uninstalling the app.

8. Intellectual property

Procuro, its software, design, and branding are the property of Oaka AI. These Terms don't grant you any ownership interest in Procuro; they grant you a limited, non-exclusive, non-transferable right to use Procuro for your own store's operations for as long as you maintain an active subscription.

You retain ownership of the data you input into Procuro, including your product, supplier, and purchase order information.

9. Service availability and changes

We aim to keep Procuro available and functioning as described, but we don't guarantee uninterrupted access. Procuro depends on Shopify's own platform and APIs, and on third-party infrastructure we don't control; outages on those systems can affect Procuro's availability.

We may add, change, or remove features over time. Where a change meaningfully reduces functionality you're paying for, we'll make reasonable efforts to notify you in advance.

10. Disclaimers and limitation of liability

Procuro is provided "as is," without warranties of any kind, express or implied, including fitness for a particular purpose. We don't guarantee that cost calculations, forecasts, or AI-extracted data will be error-free; you're responsible for reviewing and confirming purchase order data before accepting it.

To the maximum extent permitted by law, Oaka AI is not liable for indirect, incidental, or consequential damages arising from your use of Procuro, including lost profits or inventory discrepancies, beyond the amount you've paid for Procuro in the three months preceding the claim.

11. Termination

You can stop using Procuro at any time by uninstalling it from your Shopify store. We may suspend or terminate your access if you violate these Terms, or if required to do so by Shopify or applicable law. Sections of these Terms that by their nature should survive termination (including intellectual property and limitation of liability) will continue to apply.

12. Governing law and changes to these terms

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

We may update these Terms from time to time. We'll update the "Last updated" date above when we do, and continued use of Procuro after a change takes effect means you accept the updated Terms.
